These Terms & Conditions ("Terms") govern your use of the website located at jpluscpa.com (the "Site") and your communications with Jae Jin Yang CPA, PC, doing business as J Plus ("we," "us," or "our"). By using the Site, contacting us, or enrolling in our SMS messaging program, you agree to these Terms. Please also review our Privacy Policy, which is incorporated into these Terms by reference.

1. No Professional Advice; No Client Relationship

The information on this Site is provided for general informational purposes only and does not constitute accounting, tax, legal, investment, or other professional advice. Tax and accounting matters depend on your specific facts and circumstances, and applicable laws change frequently. You should not act or refrain from acting on the basis of information on this Site without seeking professional advice tailored to your situation.

Viewing this Site, submitting an inquiry through our contact form, or communicating with us by phone, email, or text message does not create a client relationship with Jae Jin Yang CPA, PC. A client relationship is established only upon our mutual execution of a written engagement letter that describes the specific scope of services, fees, and responsibilities of each party. Until an engagement letter is signed, we assume no responsibility to perform services or to advise you on any matter, including any filing deadline.

2. SMS Text Messaging Terms

If you provide your mobile phone number and consent to receive text messages from us, the following terms apply to our SMS messaging program:

  • Program description. We send informational and customer-care messages relating to our accounting, tax, and advisory services, such as responses to your inquiries, appointment scheduling and reminders, document requests, and status updates. We do not send marketing or promotional text messages.
  • How to opt in. You may opt in by texting our business number at (512) 643-6654, by checking the SMS consent box on our contact form, or by providing verbal consent during client onboarding or a consultation. Consent to receive text messages is not a condition of purchasing any goods or services.
  • Message frequency. Message frequency varies based on your interactions with us.
  • Cost. Message and data rates may apply. Charges are determined by your mobile carrier plan; we do not charge you for text messages.
  • How to opt out. You may cancel at any time by replying STOP to any message. After you send "STOP," we will send a confirmation message and will not send further messages unless you opt in again.
  • Help. For assistance, reply HELP to any message, or contact us at (512) 342-1055 or admin@yangdeancpa.com.
  • Supported carriers. Our messaging program is supported by major U.S. carriers. Carriers are not liable for delayed or undelivered messages.
  • Privacy. We do not share mobile phone numbers or SMS consent with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.
  • Do not send sensitive information by text. Text messaging is not a secure channel. Please do not send Social Security numbers, financial account numbers, or other sensitive personal information by text message. We will direct you to a secure method when such information is required.

3. Payment Terms

Fees for our services are set out in your engagement letter or invoice. We invoice by email and use Stripe, Inc. as our third-party payment processor; payment links are delivered to your email address. Payment card and bank account information is collected and processed directly by Stripe and is not stored on our systems. Your use of Stripe is subject to Stripe's terms and privacy policy.

Unless otherwise stated in your engagement letter, invoices are due upon receipt. We do not request payment information by text message, and we will never ask you to send card numbers by email or text.

4. Electronic Communications

By using the Site or communicating with us electronically, you consent to receive communications from us electronically, including by email and text message where you have opted in. You agree that electronic notices, disclosures, and other communications satisfy any legal requirement that such communications be in writing.

5. Acceptable Use

You agree not to use the Site in any manner that is unlawful, that could damage, disable, or impair the Site, or that interferes with another party's use of the Site. You may not attempt to gain unauthorized access to any portion of the Site or to any systems or networks connected to it.

6. Intellectual Property

All content on the Site, including text, graphics, logos, and images, is the property of Jae Jin Yang CPA, PC or its licensors and is protected by applicable intellectual property laws. You may view and print content for your personal, non-commercial use. Any other use, including reproduction, modification, distribution, or republication, requires our prior written permission.

7. Third-Party Links and Services

The Site may contain links to third-party websites or services that we do not control, including our payment processor. We provide these links for convenience only and are not responsible for the content, policies, or practices of any third-party site or service.

8. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Jae Jin Yang CPA, PC and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Site or reliance on its content. Nothing in these Terms limits any liability that cannot be limited under applicable law, and nothing in these Terms alters the terms of any signed engagement letter, which governs our professional services.

10. Indemnification

You agree to indemnify and hold harmless Jae Jin Yang CPA, PC and its owners, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or your violation of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the jurisdiction of those courts. This provision does not apply to disputes governed by a dispute-resolution clause in a signed engagement letter, which controls as to our professional services.

12. Changes to These Terms

We may update these Terms from time to time. The "Effective date" above indicates when these Terms were last revised. Your continued use of the Site after any change constitutes acceptance of the updated Terms.
